Terms and Conditions for Asupixel

Welcome to Asupixel. These Terms and Conditions govern your relationship with Asupixel ("Company," "we," "us," or "our") and apply to all services provided, including web design, branding, and marketing.

1. Scope of Services

Asupixel agrees to provide the services outlined in the specific Project Proposal or Statement of Work (SOW) agreed upon by the Client. Any additional work outside the original scope will be subject to a new estimate and agreement.

2. Payments and Fees

Deposits: A non-refundable deposit of 50% is required before work commences.

Milestones: Payments may be structured based on project milestones as defined in the SOW.

Final Payment: The remaining balance is due upon project completion and before the delivery of final assets or website launch.

Late Fees: Payments overdue by 14 days may incur a late fee of 5% per month.

3. Intellectual Property (IP)

Client Ownership: Upon receipt of full payment, the Client owns the final deliverables the final logo design, the website code, the brand guide).

Agency Rights: Asupixel retains ownership of all preliminary sketches, unused concepts, and "know-how" developed during the project.

Portfolio Rights: Asupixel reserves the right to display the completed work in our portfolio, case studies, and social media for promotional purposes, unless a non-disclosure agreement (NDA) is in place.

4. Client Responsibilities

The Client agrees to:

Provide necessary materials (copy, images, brand assets) in a timely manner.

Provide feedback and approvals within 3-5 business days.

Ensure that all materials provided do not infringe on any third-party copyrights.

5. Revisions and Feedback

Each project includes  2 or 3 rounds of revisions.

Extensive changes that deviate from the original creative brief will be considered "out of scope" and billed at our hourly rate of $250.

6. Term and Termination

Termination by Client: The Client may terminate the project at any time by providing written notice. In such cases, the Client is responsible for payment for all work completed up to the termination date.

Termination by Asupixel: We reserve the right to pause or terminate services if the Client fails to communicate for more than 30 days or breaches these terms.

7. Limitation of Liability

Asupixel shall not be liable for any indirect, incidental, or consequential damages (including loss of profit or data) arising out of the services provided. Our total liability is limited to the total amount paid by the Client for the specific project.

8. Governing Law

These terms are governed by the laws of United States. Any disputes shall be resolved in the courts of law.
